Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Wizdo (“Company”, “we”, “us”, or “our”), governing your access to and use of the Wizdo web application, telephony standups, strategy deliverables, and related services (collectively, the “Service”).

By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Service.

2. Description of the Service

Wizdo is an AI-powered goal partner and executive operating board engineered around the Ivy Lee prioritization methodology. The Service provides:

• Daily high-leverage 6-task commitment tracking across professional and personal domains.
• Real-time AI voice sparring and morning telephone or web kickoffs.
• Autonomous generation of executive briefs, strategy deliverables, and exportable artifacts (Markdown, CSV, PDF).
• Integrations with productivity tools, including Google Calendar (timeblocking) and Gmail (drafting deliverables).

3. User Accounts and Eligibility

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account details.
• Maintain the security and confidentiality of your credentials and notify us immediately of any unauthorized use.
• Accept responsibility for all activities that occur under your account.

4. Third-Party Integrations & Google API Services

The Service integrates with third-party platforms, notably Google Workspace (Google Calendar and Gmail). By connecting your Google account:

• You authorize Wizdo to access your Google Calendar solely to check availability and schedule focused timeblocks for your prioritized tasks.
• You authorize Wizdo to access Gmail solely to create and draft email briefs and communications explicitly requested by you.
• Wizdo's use and transfer to any other app of information received from Google APIs will strictly adhere to the Google API Services User Data Policy, including the Limited Use requirements.
• You may disconnect third-party integrations at any time via your account settings or third-party security management dashboards.

5. User Conduct and Restrictions

You agree not to:

• Use the Service for any illegal, harmful, infringing, or fraudulent purpose.
• Attempt to decompile, reverse-engineer, or circumvent any security features or rate limits of the Service.
• Interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure.
• Use the Service to transmit spam, harassment, malware, or unsolicited bulk communications.

6. Subscriptions, Billing, and Cancellations

Certain tiers of the Service are offered on a subscription basis. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel your subscription at any time through your billing settings. Unless required by law, payments are non-refundable.

7. Intellectual Property & User Content

You retain all ownership rights to the data, tasks, notes, and content you submit to the Service (“User Content”). Wizdo does not claim ownership of your User Content. We grant you a limited, non-exclusive, revocable license to use the Service strictly in accordance with these Terms.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WIZDO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE SERVICE.

10. Termination

We reserve the right to suspend or terminate your access to the Service at our sole discretion, without prior notice, for conduct that we determine violates these Terms, infringes on third-party rights, or poses harm to other users or the Service.

11. Changes to Terms

We may modify these Terms from time to time. Any updates will be posted on this page with an updated “Last Updated” date. Continued use of the Service following modifications signifies your acceptance of the revised Terms.
